Rebellion obtains the bondholders’ approval in the written procedure under its senior secured bonds 2024/2028

On 1 October 2026, Rebellion Capital AB (publ) ("Rebellion" or the "Company") initiated a written procedure (the “Written Procedure”) under its outstanding senior secured callable floating rate bonds with ISIN SE0023113790 (the “Terms and Conditions” and the “Bonds”) to request the bondholders’ approval of certain amendments to the Terms and Conditions, as further described in the press release dated 1 October 2026 and in the notice of Written Procedure.

Rebellion today announces that a sufficient number of votes were obtained to form a quorum and a requisite majority of the voting Bondholders voted in favour of approving the request set out in the Written Procedure. Accordingly, Nordic Trustee & Agency AB (publ) (the "Agent") has today concluded the Written Procedure. The amendments to the Terms and Conditions will come into effect upon execution of the amended and restated Terms and Conditions, which will be available on the Company’s website.

The Company will pay a consent fee of 0.20 per cent. of the nominal amount of each Bond, corresponding to SEK 2,500 per Bond (the “Consent Fee”), to the bondholders registered in the debt register kept by the CSD as a direct registered owner or authorised nominee with respect to one or several Bonds on 4 November 2026, regardless of whether they voted in favour of, against, or did not participate in the Written Procedure. The payment of the Consent Fee will be made on 11 November 2026.

The Company thanks the Bondholders for their continued trust and support. Rebellion remains committed to reducing its maintenance leverage ratio, with the objective of achieving a lower level ahead of refinancing the Bonds. The approved amendments provide the Company with the flexibility to pursue the strategic actions needed to support this objective.
