New number of shares and votes in Ambea AB ( publ )

The new share issues were made pursuant to the authorisation granted by the Annual General Meeting on 12 May 2026 and were carried out on two occasions, on 1 October and 15 October 2026, respectively. The new share issues were carried out to enable the delivery of shares in Ambea as consideration to the shareholders of Humana who accepted Ambea’s recommended public takeover offer to the shareholders of Humana to transfer all shares in Humana to Ambea. The newly issued shares have been paid for by way of contribution in kind in the form of shares in Humana. Through the new share issues, the number of shares and votes increased by 8,641,622 and the share capital by SEK 256,384.649282.

As of today, the total number of shares and votes in Ambea amounts to 89,026,046. Furthermore, the registered share capital amounts to SEK 2,641,276.322967.
